Plain English Summary
AdsOnIt provides a programmatic visual canvas marketplace connecting digital creators and brand sponsors. By accessing our platform, publishing campaigns, or purchasing sponsorship spots, you agree to these Terms. Creators retain complete copyright of original artwork but warrant full non-infringement; sponsors receive exclusive, time-bound visual placement; and AdsOnIt serves as the creator's commercial collection agent.
01.Acceptance of Terms & Eligibility
By accessing, browsing, registering for, or using AdsOnIt (“Platform”, “we”, “us”, or “our”), you (“User”, “Creator”, or “Sponsor”) agree to be legally bound by these Terms of Service and all incorporated policies, including our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use.
You must be at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into binding agreements. If you are acting on behalf of a corporation or entity, you represent and warrant that you possess verified authority to bind that entity.
02.Creator Intellectual Property Warranty & Strict Indemnity
Creator represents and warrants that Creator owns or has obtained all necessary rights, licenses, consents, and permissions to display, distribute, and commercialize all uploaded imagery, assets, and branding. Creator agrees to strictly defend, indemnify, and hold harmless AdsOnIt and its sponsors against any and all claims, copyright infringement suits, trademark disputes, damages, and legal costs arising from Creator's assets.
03.Money Transmitter Exemption (“Agent of the Payee”)
By listing an asset on AdsOnIt, Creator expressly appoints AdsOnIt (and its authorized Merchant of Record / payment processor) as Creator's authorized limited commercial agent for the sole purpose of receiving payments from Sponsors. Creator agrees that Sponsor's payment to AdsOnIt satisfies Sponsor's payment obligation to Creator as if made directly to Creator, eliminating all debt, regardless of any subsequent disbursement schedule.
Pursuant to standard commercial payment doctrine and applicable state exemptions, AdsOnIt acts solely as Creator's limited commercial collection agent. Receipt of payment by AdsOnIt constitutes immediate legal settlement of Sponsor's debt to Creator.
04.Sponsor Content Policy & Destination URL Safety
Sponsor represents that uploaded logos, trade names, and destination URLs do not infringe third-party intellectual property, contain malware, promote illegal substances, or violate applicable advertising standards. AdsOnIt reserves the right to immediately suspend any placement violating these terms without refund.
- Destination URLs must use valid, secure HTTPS protocols and must not link to malicious software, phishing gateways, or deceptive landing pages.
- All outgoing links route through our Safe Redirection Gateway (
/api/redirect) where destination reputations are verified and tagged withrel="noopener noreferrer nofollow". - Sponsorships represent transient promotional placement within defined bounding boxes and confer zero ownership or copyright over Creator's underlying artwork.
05.Marketplace Economics, Platform Commission & Revenue Clearing
Gross commission deducted automatically upon finalized spot purchase.
Sponsor payments undergo a 14-day clearing period to protect against disputes prior to disbursement.
Minimum accrued earnings balance required to request bank payout.
Earnings disbursements are executed via direct bank transfer, Wise, or electronic payment rails upon payout request and administrative verification. AdsOnIt does not operate a stored-value facility, digital wallet, or escrow service; balances represent accrued contractual revenue shares awaiting disbursement.
06.IRS 1099-NEC Progressive Tax Compliance
AdsOnIt operates a progressive tax-compliance framework. In accordance with United States Internal Revenue Code regulations, when a United States resident creator reaches or exceeds $600.00 USD in cumulative annual earnings, subsequent payout disbursement requests will be held pending submission of a completed IRS Form W-9.
07.Permanent Immutability Post-Publication
To protect the commercial expectations of sponsors and preserve historical integrity, campaigns published to AdsOnIt are permanently locked by PostgreSQL database triggers. Creators may not alter, delete, or substitute image assets, bounding box coordinates, pricing floors, or campaign duration once posted.
08.Listing & Content Moderation Policy
AdsOnIt operates a curated digital advertising marketplace with strict automated and editorial quality controls. All visual campaigns and sponsored placements are subject to pre-publication screening and continuous compliance review:
Every uploaded image asset is programmatically inspected via Sightengine computer vision models for nudity, sexually explicit material, violence, weapons, illicit drugs, and hate symbols prior to public display.
All external destination links route through /api/redirect, which enforces HTTPS encryption, checks domain reputations, and applies sandboxing headers to protect visitors.
AdsOnIt enforces a non-negotiable zero-tolerance ban on: (1) Adult/sexually explicit content, pornography, or escort services; (2) Firearms, weapons, and ammunition; (3) Controlled substances and illicit drugs; (4) Counterfeits and unlicensed brand logos; (5) Financial fraud, Ponzi/pyramid schemes, multi-level marketing (MLM), or deceptive get-rich-quick claims; (6) Hate speech, discrimination, and violence; and (7) Malware, phishing gateways, or cloaked landing pages.
Enforcement: Non-compliant listings are removed immediately upon detection. Creators engaging in repeated or deliberate violations face permanent account deactivation and forfeiture of unpaid accrued earnings.
09.Copyright & Intellectual Property Takedown Policy
AdsOnIt respects the intellectual property rights of creators, brands, and artists. If you believe your copyrighted artwork, photography, logo, or trademark has been displayed on AdsOnIt without your permission, we provide a direct and rapid removal procedure.
To submit a takedown request, send an email to support@adsonit.com containing: (1) The URL to the offending campaign on AdsOnIt; (2) A description of your copyrighted work and proof of ownership; and (3) Your contact details. Once verified, the content will be permanently removed within 24 hours. Accounts with repeated confirmed copyright strikes will be permanently terminated.
10.Disclaimers & Limitation of Liability
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSONIT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS REPUTATION RESULTING FROM (I) YOUR ACCESS TO OR INABILITY TO ACCESS THE PLATFORM; (II) ANY CONTENT POSTED BY THIRD PARTIES; OR (III) UNAUTHORIZED ACCESS TO YOUR TRANSMISSIONS OR CONTENT.
11.Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved via binding individual arbitration or small claims court.
